Senior Corporate Counsel

About the role
The Senior Corporate Counsel is a key management role, where you will be accountable for ensuring properly executed documents including reviewing, drafting, and negotiating a variety of customer facing agreements, as well as vendor agreements and ancillary documents. The position includes a substantial amount of communication with internal and external customers and requires strong cross-functional collaboration skills.

 

What you'll be doing

  • Manage contracts process and contracts team.
  • Assures contracts team objectives support strategies and business goals.
  • Ensure company compliance with contact terms.
  • Guide sales proposals through process and identify and mitigate risk issues in achievement of strategic business goals.
  • Ensure responsiveness in accordance with company service level dedications.
  • Develop and update contact templates.
  • Draft, review, analyze, modify and negotiate a variety of complex commercial agreements and other contractual instruments with clients with the support of the business.
  • Interpret contract requirements, obligations and risk exposure and advise on same.
  • Partner with internal stakeholders, including Senior Leadership, as appropriate, in a continued effort to streamline contract related processes as well as integrate templates across varied business units and functions.
  • Provide direction and guidance related to the contracting process. Providing input to the development, maintenance, and management of contracting policies and procedures.
  • Initiate and/or lead the development of innovative approaches to contracting requirements, obligations and exposures.
  • Ensuring conformity to business needs, proper risk allocation and compliance with the policies and procedures.
  • Facilitating internal contract approval and stakeholder negotiation to resolve complex issues and assist in disputes (escalating complex legal and factual issues to the appropriate internal parties).
  • Educating business partners on key commercial, legal, corporate policy and other considerations by providing follow up information to clients and senior management to ensure timely performance and adherence to terms of contracts. Prepares contract summaries to assure proper interpretation of contacts.

What you have

  • Legally eligible to work in the United States.
  • JD required. 
  • Current member in good standing of the state bar.
  • 5-7 years of in-house experience, doing contract review in the technology industry.
  • 3+ years of experience in managing a team.
  • Specific and technical knowledge of contract types, methods, procedures and basic principles of contract law.
  • Ability to prioritize, multi-task and work effectively both independently and as part of a team.
  • Excellent social and organizational skills.
  • Goal drive with a high level of integrity and morality.
  • Ability to regularly exercise independent discretion and discernment within defined policies
