Corporate Counsel

 

Overview

 

The Corporate Counsel will advise the company on various business legal risk matters and negotiate a variety of customer and vendor agreements in the global technology industry.  This position will be responsible for supporting the SVP-Head of Legal, North America to assure the availability, continuity and quality of competent, timely and cost-efficient legal services. The position includes a substantial amount of communication with internal and external customers and requires strong cross-functional collaboration skills.

 

Responsibilities

 

  • Partner with business leaders to deliver services that support company objectives and that are consistent with Winning Together values.
  • Identify and mitigate risk in support strategic business objectives.
  • Draft, review, analyze, modify and negotiate a variety of complex vendor and customer commercial agreements in the global technology industry
  • Advise the business and executive team on legal contract requirements, obligations and risk exposure.
  • Partner with internal stakeholders to continuously improve and streamline contract related processes as well as integrate templates across varied business units and functions.
  • Initiate and/or lead the development of innovative approaches to providing legal services to the business consistent with company’s Winning Together values.
  • Ensure conformity to business needs, proper risk allocation and compliance with Company policies and procedures.
  • Facilitate internal contract approval and stakeholder negotiation to resolve complex issues and assist in disputes (escalating complex legal and factual issues to the appropriate internal parties).
  • Educate business partners on key commercial, legal, corporate policy and other considerations by providing follow up information to clients and senior management to ensure timely performance and adherence to terms of contracts.
  • Manage and resolve legal disputes and litigation

Education & Experience Required

 

  • Legally eligible to work in the United States.
  • JD required.
  • Current member in good standing of the state bar.
  • 2-4 years of in-house experience, Technology industry preferred

 

Skills & Competencies

 

  • Specific and technical knowledge of corporate and contracts law including contract types, methods, procedures and principles.
  • Ability to prioritize, multi-task and work effectively both independently and as part of a team.
  • Excellent social and organizational skills.
  • Goal driven with a high level of integrity and morality.
  • Ability to regularly exercise independent discretion and discernment within defined policies.
