Group Company Secretary

What the role is:

As Company Secretary at Computacenter plc you will lead a  FTSE 250 company secretarial team at a leading independent technology partner trusted by large corporate and public sector organisations.

 

Reporting into the Group Finance Director, with a strong dotted line to the Chairman, a candidate is sought to provide all listed Company Secretarial function activities, which include Board and sub-committee support, statutory and regulatory compliance, preparation of the governance sections of the annual report, legal entities management and ensuring the Company is meeting its corporate responsibility requirements.

 

This is a stimulating new role for a Company Secretary to gain a breadth of exposure within the Company Secretarial function of a fast-growing FTSE 250 company. The fast-moving nature of the business will require a first-rate Chartered Secretary with a flexible and pro-active approach.

 

The Secretariat team works in a flexible and communicative style, balancing the complex statutory needs of our business with the fast paced and ever-changing nature of our industry.

 

Provision of the full spectrum of Company Secretarial services, including board facing responsibilities, statutory and regulatory compliance, governance and best practice advice. Assuming the duties of the No.1 in the department you will use your knowledge and experience to improve the overall governance and compliance frameworks that the Secretariat contribute to whilst ensuring the business as usual running of the department continues.

 

The Ideal Candidate

 

What you’ll know:

 

  • You will be a Company Secretary or senior Deputy Company Secretary with extensive experience of working, and managing a team, in the Company Secretarial Department of a UK public listed company, ideally with FTSE 100 exposure.
  • Experience of management of SAYE and LTIP equity schemes essential.
  • Computer literate, proficient in Word, Microsoft Outlook and Excel with experience of tools that ensure that enable digital transformation of the function.
  • Thorough and practical knowledge of Companies Act, Listing Rules, Disclosure Guidance and Transparency Rules and Market Abuse Regulation
  • Proven experience of working effectively and winning confidence with Board members at plc Board level
  • Strong track record on delivering results and collaborative working

 

What you will need to do:

 

Listed company compliance

  • Oversee and manage Company Secretarial input into the production and mailing of the Annual Report including drafting of corporate governance content, mailing process and logistics, related shareholder communications and timely discharge of all regulatory filings and communications relating to the publication of the Annual Report.
  • Oversee the project management and compliance requirements of AGMs and other shareholder meetings. This includes organising audio/visual and staging requirements, meeting materials, responding to proxy
  • Ensure ongoing compliance with the Market Abuse Regulation and oversee the administration of the Company's Restricted Persons List and Insider List and the permission to deal process.
  • Proactively manage the share registration contract (including any tender/renewal), share register initiatives and relationship with EQ, monitoring service levels and addressing any shortfall. Keep abreast of industry developments and work with EQ to deliver service improvements and cost savings.
  • Together with the Chairman and the Executive Directors, manage Computacenter's responses to shareholder correspondence by email and telephone liaising with the Investor Relations team as appropriate.

 

Corporate governance:

  • Act as Secretary to Computacenter’s Plc Board and Committees. This includes reviewing the scheduling of meetings, setting agendas, attending and minuting meetings and following up and reporting on matters arising. Of crucial importance are the development of a supportive, proactive and confident relationship with the Chairs and other Board and Committee members and a good understanding of their work.
  • Prepare the year-end Audit Committee report for inclusion in the Annual Report
  • Lead on all Computacenter plc Board meeting and corporate governance matters as and when required

 

Global entity management:

  • Provide direction, assistance and support where required to the Company Secretarial team in the delivery of company secretarial services to Group entities, having due regard to the global regulatory requirements which apply to Computacenter.
  • Run regular and ad hoc board meetings for selected Group entities as required
  • Provide advice and support to the team members on their role as Secretary to the various Group entities
  • Liaise with offshore specialists and teams, both in and out of house, to ensure global compliance activities are up to date
  • Oversee and provide advice on company secretarial processes and governance
  • You will work to build relationships with the international operations of Computacenter ensuring a broad Group Secretariat.
  • Prepare ad hoc transactional minutes for the UK subsidiaries as required by the business
  • Respond to company secretarial queries from the business as required

 

LTIP & SAYE:

  • Oversee the project management of grants/offers and maturities under the Group’s LTIP and Sharesave Schemes and keep under review EQ's management of the Schemes, the employee portals and response to employee enquiries.
  • Provide expert advice on the Scheme rules as necessary

 

Team development:

  • Line manage the Company Secretarial team as required and assist in the development of their technical and practical knowledge and capability in respect of company secretarial work.
  • Raise the profile of the Company Secretarial team across the business through proactive value-added contribution to corporate projects and the development of strong relationships with colleagues in other functions.
  • With input from the team, develop the corporate governance processes and procedures manual

 

What you’ll also be: 

  • You will possess strong operational attention to detail with the ability to work quickly and effectively and prioritise well to manage the demands and workloads of a fast-moving environment.
  • You have strong verbal and written communications skills.
  • You must possess gravitas and professionalism but be able to flex your style to suit a variety of stakeholders and have an ability to communicate and work with people and manage relationships with peers and senior corporate colleagues with an appropriate style of communication at all levels of an organisation.
